These Terms of Service (“Terms”) apply to all professional business and consulting services supplied by Castlemaine Records Pty Ltd, ABN 83 703 390 363 (“we”, “us”, “our”), trading via castlemainerecords.online from Melbourne VIC. By engaging our services, requesting a quotation, or using our website, you agree to be bound by these Terms.
2. Services
We provide professional business and consulting services, including recordkeeping support, business documentation, advisory and related administrative services. The specific scope, deliverables, timelines and fees for any engagement will be set out in a written quotation, proposal or service agreement agreed between you and us.
3. Quotations and Fees
- All quotations are provided in Australian dollars (AUD) and are valid for 30 days unless otherwise stated in writing.
- Quotations are based on the scope of work described at the time of issue. Any change to scope may result in a revised quotation.
- Unless otherwise agreed in writing, payment is due within 14 days of the date of our invoice.
- We may charge interest on overdue amounts at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic).
4. Your Obligations
To enable us to deliver our services effectively, you agree to provide accurate, complete and timely information, to respond reasonably to our requests, and to ensure that any materials or records you supply to us are lawful and that you hold the necessary rights to provide them to us.
5. Intellectual Property
All materials, templates, frameworks, processes and documentation we create or supply in the course of an engagement remain our intellectual property, except where expressly agreed otherwise in writing. Upon full payment, you receive a licence to use deliverables prepared specifically for you for your own business purposes. Pre-existing materials we bring to the engagement remain our property.
6. Confidentiality and Privacy
We treat client information as confidential and will not disclose it except as required to deliver our services, with your consent, or as required by law. Our handling of personal information is described in our Privacy Policy.
7. Limitation of Liability
To the maximum extent permitted by law, our liability arising out of or in connection with our services is limited, at our option, to the resupply of the services or the payment of the cost of having the services supplied again. We are not liable for indirect or consequential loss, loss of profit, or loss of business opportunity, except where such limitation is not permitted by law.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) or any other applicable legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a remedy where the services are not supplied with due care and skill, are not reasonably fit for purpose, or are not supplied within a reasonable time.
9. Termination
Either party may terminate an engagement with 14 days’ written notice. You remain liable for fees for services performed up to the date of termination. We may terminate an engagement immediately if you fail to pay an invoice when due, breach these Terms, or if continuing the engagement would place us in breach of law or professional obligations.
10. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve the matter in good faith through direct discussion. If the matter cannot be resolved within 30 days, the parties may agree to mediation before commencing formal proceedings.
11. Governing Law
These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
